TERMS AND CONDITIONS – “EVOLVE” VIRTUAL EVENT

The Virtual Event – “EVOLVE” Terms and Conditions (“Terms” or this “Agreement”) govern the purchase of the e-ticket to the virtual event platform software and access to the services (“Services”) provided by Countable Inc. (“we,” “us,” “Provider,” or terms of similar meaning) and its suppliers on behalf of the Firm and its Users (“you,” “your,” or terms of similar meaning).

By accepting this Agreement, you agree to be bound by these Terms, as well as all terms, policies, and guidelines incorporated by reference.

If you are accepting this Agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms. In such cases, the terms “Firm” or “User” (as applicable) shall refer to that entity and its affiliates. If you lack the authority to accept this Agreement or if you disagree with these Terms, you must not accept this Agreement and may not use the Services.

These terms and conditions (“Agreement”) govern your participation in the virtual event – “EVOLVE” (“Event”) organized by [Countable Inc]. By registering for the Event, you acknowledge and agree to comply with the following terms and conditions:

1. Registration: By registering for the Event, you agree to pay any applicable fees and to comply with all registration requirements, including deadlines and any required information. Your Event registration includes entry for only one person on 10 August 2023. If you choose not to attend one of the included events that make up the Event, no refund or discount will be offered. All tickets will be charged in Canadian dollars. Tickets are non-transferable and can only be used by one person.

2. Access: Access to the Event is by invite only. If you are invited to the event, you will receive access to the event only after completing the required registration form and payment of any applicable fees. You are responsible for maintaining the confidentiality of any login credentials or passwords provided to you. Participants are responsible for ensuring they have the necessary equipment, software, and stable internet connection to access and participate in the Event.

3. Code of Conduct: You agree to behave professionally and appropriately at all times during the Event. Harassment, hate speech, discriminatory behaviour, or any form of disruptive activity will not be tolerated and may result in immediate removal from the Event.

4. Content: All content presented during the Event is provided for informational purposes only. Any opinions expressed during the Event are those of the speakers and not necessarily those of the Event organizers.

5. Intellectual Property: All intellectual property rights to the content presented during the Event belong to the respective owners. You agree not to reproduce, distribute, or use any content presented during the Event without the express written permission of the owner.

6. Continuing Professional Education (CPE) Credits: The Event is eligible for CPE credits. You are responsible for verifying your eligibility and claiming any applicable CPE credits.

7. Giveaways/Prizes: The prizes offered in the giveaway will be described in the Event promotion materials or during the Event. The prizes are non-transferable, non-exchangeable, and have no cash value unless specified otherwise. The winners will be randomly selected from all eligible entries received during the giveaway activity or as otherwise specified in the Event promotion materials. The selection process will be fair and conducted at the discretion of the Event organizers.

8. Winner Notification: Winners will be notified by email or other specified communication method within a reasonable timeframe after the giveaway has ended. If a winner does not respond within a specified time period or fails to meet the eligibility requirements, an alternate winner may be selected.

9. Liability: We will not be liable for any direct, indirect, or consequential damages arising from your participation in the Event. By participating in the Event, you assume all risks associated with attending the Event, including but not limited to technical issues and unforeseen events.

10. Cancellation: We reserve the right to cancel or reschedule the Event at any time. If the Event is cancelled, you will be notified and refunded any applicable fees. If the Event is rescheduled, you will be given the option to attend the rescheduled Event or receive a refund. Please advise Countable by email on events@countable.co if you are not able to attend the Event. No refund or discount will be offered unless Countable decides otherwise on a case-by-case basis.

11. Privacy: By registering for the Event, you agree to Countable’s privacy policy and Countable’s terms of use. We may collect and use your personal data for Event-related purposes, including communication, marketing, and analytics. Any personal information provided during registration will be processed for the purposes of organizing and managing the Event.

12. Use of Registrant Contact Information: By registering for this Event, registrants give permission for their contact information to be shared with other registrants, associated third-party vendors, event sponsors, and be included in the Virtual Event Attendee List. If a registrant would like to opt-out, a written request must be sent to events@countable.co.

13. Recording Policy: By attending the Event, you acknowledge that there will be filming, sound recording and photography at the Event. You give Countable and its affiliates unrestricted permission and irrevocable consent to photograph and film you, and to record your voice or written or oral presentations, and use your picture, photograph and other reproductions of your physical likeness and sound (including as edited by or on behalf of Countable) for any legitimate marketing purpose by or on behalf of Xero and its affiliates to the extent permitted by applicable law. To the extent permitted by applicable law, you hereby release Xero, its successors, assigns and licensees from and against any and all claims, liabilities, losses, demands, actions, causes of action, costs and expenses whatsoever, at law or in equity, known or unknown, anticipated or unanticipated, which you may, or shall hereafter have arising out of Countable’s use as herein provided and/or use by any third-party with or without Countable’s consent. Participants are strictly prohibited from recording any part of the virtual event without prior written consent from the event organizers. All event sessions, presentations, discussions, and associated content are protected by copyright and intellectual property laws.

14. Recording Consent: Participants who wish to record any portion of the virtual event must obtain explicit written permission from the event organizers in advance. A written request must be sent to events@countable.co. The event organizers reserve the right to deny recording requests without providing any reasons.

15. Modifications: We reserve the right to modify these terms and conditions at any time. You agree to check for updates periodically and to comply with any modifications made to the terms and conditions.

16. Compliance: As an accountant or a CPA firm owner, you are responsible for complying with all applicable laws, regulations, and professional standards. You agree to comply with all applicable laws, regulations, and professional standards during the virtual event.

17. Governing Law: These terms and conditions are governed by the laws of Canada. Any disputes arising from or related to these terms and conditions will be resolved exclusively in the courts of Canada.

18. Professional Responsibility: The content presented during the virtual event is not intended to serve as professional advice or guidance. You are responsible for verifying any information presented during the event and for seeking professional advice as needed.

19. Payments provider: All payments and refunds for the Event will be processed by Stripe. By registering for the Event, you acknowledge and accept Stripe’s Terms of Use.

20. Platform provider: The Event will be held on Zoom. By registering for the Event, you acknowledge and accept Zoom’s Terms of Use and Privacy Policy.
